Bahrain Bourse Issues Investor Relations Guidelines to Enhance Market Transparency

Bahrain Bourse (BHB) has launched its new Investor Relations (IR) Guidelines as part of its ongoing efforts to strengthen the Kingdom’s capital market by promoting greater transparency and improving communication between listed companies and investors.

The guidelines provide a practical framework for companies listed on Bahrain Bourse’s Mainboard Market, outlining measures to enhance engagement with shareholders and stakeholders through timely disclosure of information in line with international standards of transparency and corporate governance. They also support Bahrain Bourse’s environmental, social and governance (ESG) strategy and sustainability goals while encouraging stronger investor confidence and future capital-raising opportunities.

Shaikha Alzayani, Senior Director of Listing and Disclosure at Bahrain Bourse, said the guidelines represent a significant step in advancing the Kingdom’s capital market. She noted that they offer listed companies a structured framework for strengthening relationships with shareholders, investors and the wider investment community, contributing to the long-term growth and sustainability of Bahrain’s financial market.

The guidelines include both mandatory requirements and recommended best practices for Mainboard-listed companies. Firms are required to comply with all mandatory provisions by March 31, 2028.

Among the mandatory requirements, all Mainboard-listed companies must establish a dedicated Investor Relations section on their websites, providing easy access to company announcements, financial reports, governance disclosures and other material information.

Companies with a market capitalisation of BHD 100 million or more will be subject to additional requirements, including the appointment of a dedicated Investor Relations Officer to oversee communications with shareholders and investors. These companies must also hold an annual earnings call within 10 working days of publishing their financial results to provide investors with updates on financial performance and strategic plans.

In addition to the mandatory measures, the guidelines recommend a range of best practices aimed at strengthening investor engagement. These include increasing participation in capital market initiatives, supporting analyst coverage of listed securities, and taking part in investment roadshows and industry events to broaden outreach to existing and prospective investors.
