Washington DC: Paramount Skydance has agreed to delay its proposed $110 billion merger with Warner Bros. Discovery through June 2027. The decision ensures the deal remains on hold while a high-stakes US lawsuit seeking to block the transaction moves forward.
A coalition of 12 Democratic-led states, headed by California Attorney General Rob Bonta, filed the antitrust suit. State officials argue the combined entity would control roughly 27 percent of theatrical film distribution, ultimately driving up prices and reducing content quality for audiences.
The court delay follows a ruling by a California federal judge who ordered a temporary pause, citing serious concerns about anticompetitive effects. The move comes despite the Trump administration approving the blockbuster deal without conditions in June.
If approved, the merger would consolidate major entertainment assets—including CNN, HBO Max, and Warner Bros. Pictures under Paramount Skydance. The company is controlled by the Ellison family, key allies of President Donald Trump.
