BCCI invites members to virtual general assembly

Bahrain Chamber of Commerce and Industry (BCCI) chairman Sameer Nass has issued an invitation to the registered members of the Chamber to participate in the ordinary general assembly, which will be held virtually via electronic means. It will take place today at 4 pm.

In this regard, the BCCI explained that the meeting will be held virtually due to the exceptional circumstances resulting from the coronavirus (COVID-19) pandemic, and in line with the directives and national efforts to combat the virus and curb its spread.

The meeting will discuss the items listed in the agenda, including the ratification of the Minutes of the ordinary general assembly on April 25 last year; discuss and approve the annual report of the Board of Directors on the activities of the chamber for the year 2019; discuss and approve the financial position and report of the external auditor for the Financial Year 2019; appointment of an External Auditor; and any other business.

The meeting will be valid with the presence of 200 members or 10 per cent of the total number of registered members, whichever is lower. If there is no quorum at the first meeting, a second meeting will be held tomorrow at 4 pm also through electronic means.

This meeting will be valid with any number of members present, and the decisions taken in both meetings will be endorsed by a majority of votes of the present members. If the votes are equal, the side of the chairman of the meeting will be cast.

Nass highlighted that all the registered members who paid their annual participation fees and any financial dues to the chamber seven days prior to the date of the meeting are entitled to participate and exercise their right to vote.

The member attending the general assembly represents his or her own establishment or the legal representative for companies. In cases where there are multiple representatives, only one member should be assigned to represent the company and vote in the meeting.

Delegating others to attend the meeting or vote is not permitted. Nass also clarified that the number of votes per member is according to his or her capital, as of the Chamber’s records.
