Twelve US states sue to block Paramount's Warner Bros. takeover

California: California and eleven other states have launched a significant legal challenge to block Paramount’s massive $110 billion acquisition of Warner Bros. Discovery, signaling an increasingly volatile conflict over the future of Hollywood market competition. 

Leading the coalition, California Attorney General Rob Bonta asserts the merger violates the federal Clayton Act, warning that consolidating two of the five major film distributors will inevitably drive up prices for viewers while simultaneously eroding content quality and consumer choice.

If allowed to proceed, the combined entity would command a massive, sprawling portfolio including news giant CNN, Warner Bros. Pictures, and the HBO Max streaming service.

 Paramount, however, characterizes the lawsuit as fundamentally flawed, arguing that scaling up is the only viable strategy to effectively challenge dominant streaming and tech platforms like Netflix, Amazon, and Apple.

 Despite securing prior federal approval, this state-led offensive highlights an industry deeply fractured by consolidation, leaving the deal's fate uncertain as regulators fight for fair markets.
