Delaware Judge Rejects Paramount’s Bid to Fast-Track Lawsuit Against Warner Bros Discovery

A Delaware judge has rejected Paramount Skydance’s effort to expedite its lawsuit against Warner Bros Discovery (WBD), marking a setback in its attempts to influence ongoing merger discussions. The ruling, by Vice Chancellor Morgan Zurn, indicated that Paramount did not demonstrate ‘cognizable irreparable harm" regarding WBD's financial disclosures.
Paramount was seeking more detailed reasoning for WBD's preference for a $82.7 billion merger with Netflix over its higher $108.7 billion cash offer. Paramount accused WBD of withholding crucial financial information about its cable television assets to favor the Netflix deal, describing this as an "inequitable thumb on the scale."
WBD dismissed the lawsuit as an inadequate distraction, asserting that the bidding process had concluded and that Paramount had simply lost. Following the ruling, Paramount plans to continue its efforts by nominating directors to WBD's board and proposing bylaws requiring shareholder approval for any divestiture of its cable division. Although Paramount is likely to extend its tender offer past the January 21 deadline, WBD has warned that finalising any merger could take up to 18 months, indicating a lengthy negotiation process ahead.
